Terms of Service

1 Acceptance of Terms

This Terms of Service agreement ("Agreement") constitutes a binding contract between Arclen Tech Labs ("Arclen Edu", "we", "us") and the onboarding Educational Institution ("Institution", "Customer", "you"). Accessing any page or API endpoint signifies your agreement to these rules.

2 Service Description

Arclen Edu is a multi-tenant School Enterprise Resource Planning (ERP) Software-as-a-Service (SaaS). We provide features including, but not limited to, admissions pipeline tracking, student rosters, fees invoicing, digital PDF certificate generation, and performance analytics dashboards.

3 Tenant Registration & Safety

To access the ERP, institutions must register an isolated tenant space:

• You agree to provide true, accurate, and current information during the onboarding procedure.
• You are entirely responsible for protecting administrative passwords and restricting login credentials for teachers and staff.
• Any security compromises, cross-tenant leak suspicions, or unauthorized logins must be reported to support@arclenedu.com immediately.

4 Billing, Subscriptions & Renewals

Access to Arclen Edu is structured as a paid monthly or annual subscription:

• Recurring Billings: Subscription charges are billed automatically at the start of each service cycle depending on your tier capacity.
• Capacity Oversages: If your student directories or active staff accounts exceed your tier limits, we reserve the right to prompt upgrade actions.
• Cancellation: You may cancel your subscription at any time. Cancelled profiles remain operational until the active billing cycle ends. No partial refunds are issued.

5 Fair Usage & Prohibited Activities

We mandate that our software must not be misused. You agree not to:

• Introduce malicious code, spyware, viruses, or run automated denial-of-service scripts on our servers.
• Bypass RBAC logic or attempt to access documents, student profiles, or fee logs belonging to another tenant school.
• Upload offensive, illegal, or copy-protected student files or document PDFs.
• Resell or lease our SaaS services to external schools without an official reseller license.

6 Data Ownership & Licensing

You retain 100% ownership of all records, profiles, parent numbers, fee bills, and files uploaded to your tenant. By using Arclen Edu, you grant us a limited, worldwide license to host, parse, cache, and transmit your data strictly to deliver services (e.g., executing PDF generator modules or dispatching text alerts).

7 Service Availability & SLA

While we target a 99.9% network uptime, Arclen Edu services are provided "as-is" and "as-available". We perform scheduled system maintenance during low-activity off-peak hours and provide notice via the admin dashboard where possible.

8 Limitation of Liability

In no event shall Arclen Tech Labs be liable for any indirect, incidental, special, or consequential damages resulting from data loss, server downtime, certificate errors, or financial discrepancies on school reports.

9 Termination of Service

We reserve the right to suspend or close tenant access with 14 days' notice for subscription non-payment or immediate suspension in cases of terms violation or attempts to damage our platform security.

10 Governing Law

This Agreement shall be governed by and analyzed in accordance with the laws of the State of California, United States, without regard to conflict of law principles.
